These Terms govern your use of Scroogely, a Virtual Vertex app for tracking usage and spend across AI providers. By using Scroogely, you accept these Terms.
Eligibility and account responsibilities
You must have legal capacity to accept these Terms and provide accurate information. You are responsible for your account, device security, and credentials used for connected providers.
License and permitted use
We grant you a limited, non-exclusive, non-transferable, revocable license to use Scroogely in accordance with these Terms and applicable law.
Prohibited use
You may not use Scroogely for unlawful activities, unauthorized access attempts, reverse engineering except where legally permitted, abuse of integrations, or disruption of service operation.
Third-party integrations and services
Scroogely integrates with third-party APIs and services (for example GitHub Copilot, OpenRouter, Cloudflare, AWS). Availability, data, and costs also depend on those providers, which remain subject to their own terms and policies.
Accuracy and availability disclaimer
Scroogely is designed to provide useful and timely information, including background refresh and notifications where enabled. However, continuous availability, accuracy, completeness, and timeliness are not guaranteed in all circumstances.

Limitation of liability
To the maximum extent permitted by law, Virtual Vertex is not liable for indirect or consequential damages, loss of profits, loss of data, or business interruption arising from use of, or inability to use, Scroogely.
Indemnity
To the extent permitted by law, you agree to indemnify and hold Virtual Vertex harmless from third-party claims arising from your misuse of the service, your breach of these Terms, or your violation of third-party rights.
Termination and suspension
We may suspend or terminate access to Scroogely for Terms violations, security risks, or legal requirements. You may stop using Scroogely at any time.
Governing law and jurisdiction
These Terms are governed by Italian law. Unless mandatory law states otherwise, disputes are subject to the courts of Rome, Italy.
Changes to these Terms
